Effective date: 29-September-2026  |  Terms version: V.1

These are the general rental terms for 535 Flex Office. A completed Booking Summary and your acceptance at checkout, together with these terms, form your Rental Agreement.

Legal Agreement

These terms, together with your completed Booking Summary, govern your rental of space at 535 Flex Office, 3190 N Poinciana Blvd Suite 222 Kissimmee, FL 34746.

Your Protection

These terms set out payment, cancellation, damage and dispute rules up front, so both parties know what to expect before a rental is confirmed.

1. Parties, premises and agreement priority

The Operator identified in the Booking Summary rents the stated room at 3190 N Poinciana Blvd Suite 222 Kissimmee, FL 34746 to the identified Renter for the specified business use and term. Use of shared areas is nonexclusive and subject to reasonable rules. A signed addendum controls a conflict it expressly addresses; otherwise the completed Booking Summary controls specific commercial details, followed by these terms. A website change does not retroactively amend a signed Agreement.

2. Commercial use and nature of occupancy

The premises are for approved business use only. Residential occupancy and overnight accommodation are prohibited. Mailing or registered-agent services require a separate agreement. The legal nature of the arrangement depends on its actual terms and use; describing it as a booking or license does not waive any applicable tenancy protections. Dedicated, exclusive-possession or longer-term rentals must include any appropriate commercial lease addendum before occupancy.

3. Confirmation, access and term

An inquiry, tour request or automated acknowledgment is not a confirmed rental. Confirmation requires Operator approval, agreement on the commercial terms, completion of required payment and acceptance of this Agreement. Access is limited to the agreed period, including setup and cleanup. Extensions need written approval and availability. No automatic renewal applies unless expressly selected and detailed in a signed addendum. Unapproved continued occupancy does not create an agreed renewal and may result in lawful remedies, not an undisclosed penalty.

4. Permitted activity and guests

Renter must keep attendance within the approved capacity and ensure that its personnel, clients, contractors and invited guests follow this Agreement. No unlawful activity, nuisance, smoking or vaping indoors, open flames, hazardous storage, blocked exits, unauthorized alterations or interference with other occupants is permitted. No subletting, transfer of access credentials or third-party resale is allowed without written approval. Lawful disability accommodations will be addressed as required; no house rule overrides applicable law.

5. Payment, deposits and card authorization

Renter must pay the amounts shown in the Booking Summary when due. Only legally applicable taxes and disclosed charges may be collected. A deposit is security, not the final rent payment or a limit on liability. Operator may apply it to lawful amounts due under this Agreement with an itemized account. Recurring card charges, a card hold or a later damage charge require a separate appropriate payment authorization; signing this Agreement is not an unlimited authorization to charge any amount to a card.

6. Cancellation, interruption and refunds

The agreed cancellation, rescheduling, no-show and early-termination rules are those in the Booking Summary or signed addendum. No undisclosed forfeiture or cancellation penalty applies. If Operator cannot provide the booked space for reasons not caused by Renter, the parties may agree to an alternative or rescheduling; otherwise Operator refunds the unused rental charges and any unapplied deposit. If a casualty, government closure or outage makes the space unusable, notify the other party promptly and reasonably mitigate loss. Mandatory remedies and any signed lease provisions remain applicable.

7. Renter-caused damage and missing property

Renter is financially responsible for the reasonable, documented cost to repair damage or replace missing property caused by Renter or its employees, contractors, clients or invited guests through their acts, omissions, misuse, negligence or breach of this Agreement. Covered property includes the room, furnishings, fixtures, doors, locks, walls, flooring, plumbing, approved equipment and common areas affected by that conduct. This responsibility includes reasonable extraordinary cleaning required because of the same conduct and may exceed the deposit or rental fee.

Renter is not responsible for ordinary wear and tear, pre-existing damage, a latent defect not caused or worsened by Renter, routine turnover cleaning, or damage to the extent caused by Operator, its personnel or an unrelated third party. Operator must take reasonable steps to avoid unnecessary loss. Repair is preferred when reasonable; a replacement charge must reflect a comparable item and its age and condition, not an unrelated upgrade. Operator may not recover the same loss twice.

Damage acknowledgment

Renter understands that the security deposit is not a liability cap and that documented renter-caused damage may be billed beyond it, subject to the exclusions and review process in this Agreement. Renter initials: __________

8. Condition at arrival and prompt reporting

The parties should complete the attached condition report and, where practical, date-stamped photographs before use and at checkout. Renter should inspect on arrival and promptly report existing damage, unsafe conditions or missing items before using affected equipment. A failure to report immediately does not by itself prove that Renter caused a defect. Report a new incident promptly, protect people from danger and avoid repairs or disposal without approval except reasonable emergency action needed to prevent further harm.

9. Damage assessment and payment

Operator will provide a written description, supporting photographs where available, and itemized invoices, receipts or reasonable repair estimates. Renter may request supporting records and dispute a charge in writing. Undisputed damage amounts are due within 15 calendar days after the itemized invoice; a good-faith dispute is reviewed before treating that disputed amount as overdue. No dispute procedure in this Agreement shortens a statutory right or time limit. Estimates must be reconciled to actual reasonable costs without duplicate recovery.

10. Deposit accounting and return

Within 30 calendar days after the rental ends, possession and all access items are returned, and a forwarding address is provided, Operator will send an itemized deposit accounting and return the undisputed balance. For a supported repair cost still being finalized, Operator may retain only a reasonable disclosed estimate, explain the pending item and send an updated account and any further refund within 30 calendar days after the cost is finalized. Operator must pursue finalization promptly. A stricter applicable legal deadline controls.

11. Cleanup, keys and surrender

Renter must remove its property and waste, leave the space reasonably clean, restore approved furniture placement and return keys, badges and equipment by the agreed end time. Ordinary wear is excepted. Lost access items or extraordinary cleaning may result in the agreed charge or documented reasonable actual cost, but not both for the same loss. Property left behind will be handled under applicable law; it is not automatically confiscated or discarded immediately.

12. Maintenance, entry and service limits

Operator remains responsible for maintenance and safety obligations imposed on it by applicable law and this Agreement. Renter must report maintenance issues promptly and must not repair building systems without approval. Operator may enter for a genuine emergency or, with reasonable advance notice and coordination when practical, for maintenance, inspection or an agreed service, subject to applicable law and any lease addendum. Included internet and utilities support normal business use; no particular dedicated speed, uninterrupted service or regulated compliance certification is promised unless expressly agreed.

13. Medical, wellness, recording and restricted areas

Any healthcare or wellness activity needs written approval and all legally required credentials, insurance, permissions and safeguards. Room descriptions and a sink do not establish that every clinical procedure is permitted or that a practice is HIPAA compliant. Renter controls its professional services, patient records and lawful waste handling. No sharps, biohazards or clinical procedures may be introduced without specific approval. Studio users must obtain needed permissions and releases; no recording of other occupants or private conversations without lawful authorization. IT Room 113 and other marked restricted areas are off limits.

14. Personal property, insurance and third-party claims

Renter is responsible for securing its belongings and maintaining the insurance expressly required in the Booking Summary. No insurance policy is provided to Renter by this Agreement. Each party remains responsible for its own negligence, wrongful conduct and nonwaivable legal duties. To the extent permitted by law, Renter will indemnify Operator against third-party claims, damages and reasonable court-awarded costs to the extent caused by Renter's or its permitted guests' negligence, wrongful conduct or material breach, excluding the portion caused by Operator or its personnel. No blanket release of Operator's negligence or personal-injury liability is created.

15. Default and lawful remedies

A material payment or conduct breach may result in written notice and a legally appropriate opportunity to cure, termination and recovery of amounts lawfully due. Operator may take proportionate emergency safety action, but any termination of possession, access restriction, removal of belongings or recovery of premises must follow applicable law. This Agreement does not authorize an unlawful lockout, utility shutoff or self-help eviction. Operator may recover reasonable actual loss without double recovery, subject to any duty to mitigate.

16. Notices, disputes and governing law

Use the notice contacts in the Booking Summary for routine written communications. A statutory notice must satisfy any required timing, contents and delivery method; ordinary email does not replace mandatory service. Florida law governs, and disputes may be brought in an appropriate court in Osceola County, Florida, unless mandatory law requires another forum. The parties should first attempt a good-faith resolution when practical without delaying urgent relief or statutory deadlines. Each pays its own legal fees except where a statute, court order or enforceable signed provision provides otherwise.
